WHAT YOU WILL DO
The Consumer Fraud Unit enforces the Colorado Consumer Protection Act (“CCPA”), C.R.S 6-1-101 et seq. Pursuant to the CCPA, this unit prosecutes businesses and individuals who engage in deceptive or fraudulent trade practices impacting consumers and obtains judgments against violators of the CCPA. These judgements can include fines, penalties, restitution, and attorney fees and costs. In addition, this unit seeks necessary court ordered injunctions that curtail these deceptive practices.
The Senior Paralegal in the Consumer Fraud Unit provides professional and technical assistance to the unit’s Hemp/Cannabis law attorneys as well as other units in the Consumer Protection section. This position will provide litigation support, trial preparation and assistance as well as interact with other legal representatives and the public.
The successful candidate will independently perform tasks such as:
- Preparing, reviewing, and editing pleadings including answers, motions to dismiss, and other routine motions, including cite checking of briefs
- Ensuring legal documents are prepared correctly and e-filed on time and in the proper court while meeting the document format requirements
- Preparing tables of contents and tables of authorities for certain briefs in compliance with internal style and format guidelines
- Organizing files and documents

POSITION: Paralegal position in the Cannabis Advice, Law and Litigation Section of the Municipal Law Branch (CALLS).
DUTIES AND
RESPONSIBILITIES: The Paralegal will work closely with the Deputy City Attorneys who serve as counsel to the Department of Cannabis Regulation (DCR) and the Cannabis Regulation Commission, and perform paralegal assignments in both litigation and non-litigation matters. The Paralegal assigned to the position will review and redact documents requested by subpoena or public records request; prepare both State and federal court pleadings; perform legal research; draft declarations or legal memorandum; and communicate directly with the assigned attorney(s), City departments and personnel, and opposing counsel. REQUIRED
QUALIFICATIONS: Either (1) Certificate of completion of an accredited paralegal training program or (2) a degree from a postsecondary institution that requires the successful completion of a minimum of 24 semester units, or the equivalent in law-related courses, and which has been accredited by a national or regional accrediting organization or approved by the Bureau for Private Postsecondary and Vocational Education.

- Provide logistical support in storing data related to compliance investigations, auditing and monitoring activities, as well as assisting with any required responses to state agencies as needed.
- Support the Compliance department with the preparation of reports, training and presentations, such as oversee companywide compliance initiatives/large-scale communications/timelines (g., Compliance Awareness Week coordination, Code of Conduct attestation roll-out ) and PTO calendars for the department and tracking companywide training.
- Organize and maintain Compliance department documents and records as needed and assist with edits and updates to the Compliance department's SharePoint website.

You will perform various paralegal duties as needed, including: managing corporate organizational documents, forming entities, assisting with the preparation of board and committee materials and minutes, drafting resolutions and written consents, assisting on all public reporting matters, reviewing SEDI and Section 16 filings (when applicable), reviewing third party contracts and non-disclosure agreements, negotiating contract terms, communicating with supervising attorneys, maintaining files, assisting with the management of litigation and claims and providing other paralegal and administrative support on a wide range of legal matters. PRIMARY RESPONSIBILITES
- Manage and organize all legal files for the Company
- Prepare and assist with public filings.
- Coordinate information and responses from various departments within the company.
- Draft minutes and board materials and maintaining public company minute books and board records, director and officer incentive equity information and maintaining director payment records; communicating with officers and directors both verbally and in writing on a variety of matters; and managing certain aspects of compliance with Sarbanes-Oxley procedures.
- Position may also require issuance and maintenance of shares pursuant to registration statements, management of Code of Ethics and other ESG (Environmental Social Governance) processes and similar tasks.
- Position will also include some general corporate paralegal responsibilities including non-disclosure agreements, assisting with forming new legal entities, drafting minutes, and maintaining minute books and state and local filings for various entities; maintaining other corporate resolutions and records including corporate officers, organizational chart, corporate profile; among others.
- Communicate with internal and external Legal department stakeholders on behalf of Legal Department
- Organize projects for Legal department and internal clients
- Assist on mergers and acquisitions transactions and financing transactions.
JOB REQUIREMENTS
- 3+ years paralegal experience, preferably in-house
- Experience in cannabis or other highly regulated industries preferred
- Corporate governance and entity management skills required.
- Company reporting experience preferred.
- Paralegal certification and/or bachelor's degree.
- Effective communication skills.
- Computer proficiency (MS Word, Excel and PowerPoint).

PURPOSE OF THE JOB
The Paralegal, under the direction of the General Counsel, will support the work of the attorneys in the legal department. The Paralegal will manage legal responsibilities in a variety of areas, conduct legal research, assess, and respond to inquiries, and support the maintenance of files and records.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
- Assist the General Counsel, Deputy General Counsel and legal department in coordinating internal and external meetings, assessing and responding to legal inquires, and preparing internal and external correspondence and other materials as needed;
- Assist the Public Records Access Officer and prepare and respond to public records requests and other compulsory legal process, e.g., subpoenas;
- Assist attorneys in minute taking at Commission meetings, and subsequently drafting and finalizing the edited Commission meeting minutes;
- Assist attorneys with legal contracts resulting from procurements, which may include reviewing contracts, ensuring all contracts are signed by appropriate parties in a timely manner, and maintaining copies of contracts in the legal files.
- Assist attorneys in developing and managing Dynamics caseload, which may include reviewing and triaging matters in consultation with the General Counsel, Deputy General Counsel and other legal staff; and
- General administrative duties, scheduling, meeting notes.

Under the supervision of the General Counsel, provides administrative, litigation, and research support for the Georgia Access to Medical Cannabis Commission (“GMCC”). ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Conduct legal research, including analyzing rules, regulations, case law, and statutory law.
- Assist in drafting, editing, and reviewing legal documents and correspondence for internal and external communications.
- Research, review, and draft legal documents for requests for public records, hearings, inspections, investigations, hearings, meetings, and litigation.
- Create and monitor a legal case filing system including the tracking of deadlines and statuses of various cases, hearings, meetings, and litigation.

CORE JOB DUTIES
- Organize/Maintain:
- Overall management of documents, digital data and other information specific to the real estate legal department.
- Oversee and manage all real estate contracts, leases and due diligence files and materials so that information is readily available and such documents can be easily accessed and retrieved.
- Record, maintain and update important critical dates and maintain files by setting calendar reminders, sending weekly critical dates forecasts, and creating critical dates schedules by property to illustrate timing of lease and Purchase Contract.
- Monitor attorney emails and coordinate call and meeting schedules if possible; save/file important correspondences to OneDrive and circulate as necessary.
- Maintain and continuously update the real estate legal transaction tracker.
- Monitor Real Estate Legal inbox and disburse information to appropriate attorney.
- Documentation Preparation:
- Assist in drafting and reviewing certain real estate legal and corporate governance documents.
- Assist in preparing forms, contracts, leases, amendments, and closing documents.
- Review and prepare general correspondence, notices regarding contract or lease terminations or extensions, and lease commencement date certificates.
- Collect and assemble final leases agreements, amendments, and other documents to circulate for applicable signatures.
- Prepare title and survey objection letters and coordinate title insurance with Title Companies.
- Prepare transaction summaries and draft, monitor and update critical dates for each pending transaction.
- Lease Management:
- Verify and confirm rent escalation, renewal periods, and expiration dates with Real Estate Department and third party lease administrator.
- Request and review certificates of insurance to ensure appropriate insurance coverage is secured in compliance with early access agreements prior to lease execution.
- Obtain and/or coordinate Landlord consent on proposed construction alterations and gather required documentation to provide as required by leases.
- Follow up with Real Estate team in advance of deadlines/expiration on next steps for possible extensions or amendments.
- Provide guidance to Real Estate team in resolving issues relating to rent discrepancies, tax/utility questions, and property management concerns.
- Real Estate Due Diligence, Acquisitions & Dispositions:
- Review, request, and analyze zoning assessment reports, title commitments, recorded documents such as easement agreements, ALTA surveys and prepare initial title and survey objection letters.
- Assemble all closing costs and invoices to be paid through closing.
- Coordinate and prepare internal wire transfer requests for earnest money deposits and funds required for closing.
- Prepare a closing checklist, which includes respective party's required document deliveries, tracking Seller's Documents received, and the general responsibilities of all parties for closing.
- Coordinate closing with all parties in the transaction, including the buyer, seller, title insurance company, escrow company, opposing counsel, internal departments (Accounts Payable, Treasury, Risk Management, and Corporate Tax/Finance), and where applicable, the lenders.
- Prepare draft real estate transfers/affidavits of transferees, and initial closing documents for lawyer's review; coordinate obtaining signatures and distributing to appropriate contacts (i.e. Title Company, Escrow Agent, etc.).
- Mark-up and finalize title pro-formas and prepare escrow instructions for Title Company and Escrow Agent.
- Review closing settlement statement figures and prepare formal funding request emails to internal departments necessary to ensure acquisition funds are timely received in the closing escrow.
- Prepare purchase announcements for distribution to other company departments.
REQUIRED EXPERIENCE, EDUCATION AND SKILLS
- Bachelor's Degree required
- Minimum 5 years of commercial real estate transactional paralegal experience in a law firm or in-house legal department.
- Paralegal certificate preferred
- Notary certificate preferred
- Must be highly experienced using Word, Outlook, Excel, PowerPoint, Docusign and Adobe
- Familiarity or experience with project management software preferred

About the Job
We are seeking a full-time civil litigation paralegal. This position includes paralegal work for all aspects of litigation, from intaking a new client through trial and appeals. We have a varied practice involving several different areas of commercial litigation. (2) The Paralegal will assist senior paralegal with drafting formal discovery requests and responses, including special interrogatories, requests for admissions, production demands, deposition notices and motions to compel for the attorneys
(3) The Paralegal will assist with firm projects involving legal research including statutory and case law and drafts forms, research memoranda, proposed orders and other documents.The Paralegal will prepare summaries of depositions and court transcripts and witness testimony.
(4) The Paralegal will assist senior paralegal with coordinating the signature and execution of client documents including documents involving third parties.
KNOWLEDGE & SKILLS
(1) Basic principles, concepts and methodology of legal proceedings and legal research.
(2) Principles of legal writing.
(3) Problem identification, analysis and evaluation.
(4) Principles of effective writing and verbal presentation.
(5) Business math for completing non-technical calculations such as addition, subtraction, multiplication and division.

The Paralegal will serve a key role in reviewing initial application information submitted by persons with an Illinois cannabis record through a secure web based portal, obtaining and reviewing the governmental and court records for the legal matter, and under the supervision of a project attorney, coordinating communications with the applicant about the next steps to clear their cannabis record, including referrals to other legal aid providers for direct representation for a petition for expungement, or assisting the person with a pro se petition.
As part of the CARPLS paralegal staff, the Paralegal may also be assigned to support the CARPLS legal aid hotline by taking calls from existing clients who are calling back for more direction/information/advice, working at CARPLS’ court based advice desks, assisting with intake, as well as doing first drafts of court pleadings for the attorneys’ review. The Paralegal will also assist the program with client publications, social services resources, scheduling, data management, general research, management of client documents, client outcome surveys, legal research and writing, and other administrative tasks.
The candidate must be a graduate of an accredited paralegal program. Candidates with prior legal aid, public interest, and/or criminal law experience are encouraged to apply.
The full time salary for this position is commensurate with other legal aid agencies, and CARPLS also offers other employee benefits.
As of July 2020, due to the CoVid-19 pandemic, this position may require the Paralegal to work remotely from home until CARPLS main office fully reopens.
