The Corporate Paralegal will be responsible for researching laws, investigating facts, and preparing documents to assist firm Partners and Attorneys, as well as performing a variety of administrative support duties.

. Requirements:Essential Functions
- Provide expert paralegal and administrative support with minimal supervision; demonstrate exceptional organizational skills and handle various legal tasks with strong attention to detail.
- Prepare, edit, review, and organize client documents, including corporate formation and organizational documents, board resolutions, contracts, leases, licenses, applications, corporate filings, and relevant client information for attorney review.
- Prepare and organize redline/blackline versions of documents during drafting and prepare & organize closing packages and signature pages for deal closings.
- Format legal documents and ensure documentation is properly filed electronically and physically.
- Conduct research of legislation, regulations, and precedent, such as those requiring research of agency policy positions and statutory, regulatory, court, and/or administrative precedents, and other legal opinion or documentary materials.
- Prepare and file annual reports, EINs, and UCC financing statements, securities filings, among others, in a variety of jurisdictions.
- Maintenance of templates and SOPs for corporate document forms, workflows, and databases.
- Interface with clients and manage client deadlines and communication.
- Manage multiple deadlines with competing priorities.
- Stay up to date with industry-related legislation and regulations and maintain strong knowledge of regulations, trends, and changes in hemp laws and regulations.
- Occasional legal research using Westlaw.
- Prepares Engagement Agreements for potential new clients and assists other departments as needed.
- Other duties as assigned.
Qualifications
- Bachelor’s Degree in Business Administration or related field required.
- 3-8 years of experience working as a Paralegal required.
- Paralegal Certification preferred.
- Exceptional organization skills, strong self-motivator with high attention to detail.
- Proficiency in Microsoft Office Suite, and Adobe Acrobat.
- Experience with Net Docs, Clio, Lexis/Nexis, Westlaw, and DocuSign preferred.
- Well-versed in computer technology.
- Excellent time and deadline management skills in a fast-paced environment, able to juggle multiple projects and reprioritize quickly and efficiently.
- Strong interpersonal skills, and ability to work with individuals at all levels of the organization in a positive, collaborative manner.
- Excellent oral and written communication skills including familiarity with common legal terminology.

The Compliance Program Coordinator will be responsible for supporting compliance-related programs and projects. The role will consist primarily of non-billable program development activities, including organization and standardization of compliance materials, initial development of marketing materials, and general administrative tasks. Essential Functions
General Administrative Support
Overseeing Department Calendar
- Includes scheduling day-to-day meetings as well as managing timelines for government meetings or regulation changes
- May include support on travel arrangements for compliance audits
Assignment and Task Coordination
- Multi-state compliance projects require hands-on oversight and task management
Supporting Directors of Compliance with Content Development
- This includes standard documents for the development of the National Compliance Department such as marketing materials or blog posts
- Assist the Directors of Compliance in building sound internal operations controls and monitor adherence to them
Cannabis Compliance
- Update client files with attention to detail
- Conduct preliminary document reviews
- Conduct basic research and provide preliminary analysis
- Finalize (proofread, format, and confirm content of) memorandums and audit reports
- Conduct preliminary reviews of packaging, advertising, and diagrams with oversight
- Create and maintain audit checklists for each state to remain compliant with evolving laws, rules, and regulations
- Keep informed regarding pending industry changes, trends, and best practices and assess the potential impact of these changes on organizational processes; attend regulatory seminars
- Design or implement improvements in communication, monitoring, or enforcement of cannabis-related compliance standards
Qualifications
- Bachelor’s degree or equivalent cannabis industry experience
- 1-3 years working in a policy-oriented field

The Licensing Specialist provides administrative support to the licensing team that helps with the creation and maintenance of organizational systems to improve efficiency both internally and externally for clients. This position also builds the necessary research to support attorneys in formulating legal opinions pertaining to the licensing process.

The Marketing & Business Development Coordinator will contribute to all areas of the Firm’s marketing and business development operations, including written and visual communications, event management, and public relations. - Assist with project planning by maintaining an ongoing project deadline spreadsheet to ensure deadlines are met promptly and within budget.
- Monitor marketing inbox and assign/handle as appropriate.

Responsibilities of our Compliance Specialist include but are not limited to:
- Review client Standard Operating Procedures to ensure compliance with the state regulations and guidance at the direction of the Compliance Manager and Attorneys.
- Assist the Director of Regulatory Compliance to build the compliance program including compliance classrooms and ongoing training programs based on industry developments and trends in enforcement actions.
- Keeping updated on regulatory developments as well as evolving best practices in compliance.
- Conduct compliance reviews for marijuana and marijuana products packaging and labeling and marketing and advertising.
- Conduct on-site facility audits for operational compliance, inspection preparation, and best practices for a compliant operation.

The FP&A Analyst is responsible for preparing accurate monthly financial reports, managing the firm budgeting and forecasting models, and providing data-driven analysis to support management decisions. This position requires a strong understanding of financial strategies for law firms or professional services organizations.

Responsibilities of our FP&A Analyst include but are not limited to:
- Oversee the model and internal processes for forecasting and budgeting.
- Enhance and deliver reporting for internal and external KPIs of the firm.
- Proactively identify deep dive analyses as the subject matter expert on the financial drivers of the firm.
- Interact with firm partners and practice leads to support their decision making through monthly department performance reviews, and support ad hoc requests as needed.
- Work directly with Controller to execute the monthly close cycle and annual tax cycle.
- Support HR in compensation analytics and analyzing firm resource planning.
- Contribute to the continuous improvement of all Finance processes.
- Contribute to the firm’s success by continuously improving the social impact, client experience, profitability, productivity, and the collective expertise in cannabis law and the industry that defines VS.
Qualifications:
- Bachelors degree in Finance, Accounting or Economics required. MBA or Masters preferred.
- 3-5 years of experience in FP&A role managing forecast models and budgets.
- Experience in a financial role at a law firm preferred. Experience in a financial role at a professional services company required.
- Strong awareness of accounting and financial reporting principles.
- Must have strong interpersonal skills and the ability to work with clients, the public, and individuals at all levels of the organization in a positive, collaborative manner.
- Passion for providing unparalleled client service.
- Experience with Microsoft Office Suite, Adobe Acrobat, NetDocs, Lexis/Nexis, Westlaw, DocuSign, and Clio preferred.
