We are currently seeking a General Counsel, Head of Compliance for our operations in Bermuda and overseas. This position will report directly to the CEO.
Key Duties and Responsibilities include:
Acting as the Chief Compliance Officer and Money Laundering Reporting Officer for all regulated entities in the Group and leading the Compliance function. This involves the provision of subject matter expertise on compliance and regulatory matters to all staff members, including but not limited to, anti-money laundering (AML) & anti-terrorist financing (ATF), economic sanctions, data privacy, and annual compliance assurance.
Responsible for overseeing compliance with all applicable laws and regulations, with focus on the Insurance Act 1978 and the applicable codes of conduct for each of the regulated Bermuda entities (including but not limited to the Insurance Code of Conduct, Cyber Security Code of Conduct for Insurers, and AML / ATF, Sanctions, Home office and Economic Substance requirements, etc.).
All BMA interactions (and other relationships with industry regulators) – including review of all issued updates, regulations, consultation papers etc., including involvement with the National Association of Insurance Commissioner’s (NAIC) as required, including::
- a. all the restrictions on Relm's licence (s);
- b. data protection etc. following all codes of practice to ensure adherence with PIPA;
- c. other related regulations;
- d. quarterly reporting to the Board on compliance matters.
Preparation and oversight of key compliance policies and procedures, including but not limited to AML & ATF, economic sanctions, entity due diligence, complaints, collaborate on business continuity management, and compliance framework and annual compliance assurance plan.
Responsible for ensuring documentation is in place in the form of policies, procedures and related controls in the following areas:
- a. the Compliance function as the Compliance Officer;
- b. the Privacy function ad the Privacy Officer;
- c. the transaction monitoring function as the Money Laundering Reporting Officer.
Consult and collaborate with claims, underwriting, risk, financial and legal personnel with respect to any matters related to compliance, including but not limited to AML/ATF screening requirements.
Conducting training to staff on a number of subject areas, including but not limited to AML & ATF, economic sanctions and data privacy.
Point of contact with the Bermuda Monetary Authority for any regulatory, including on-site examinations.
Deep understanding of sanctions screening software, RiskScreen and compliance assurance software packages.
Facilitating and leading sessions with other key stakeholders within the broader group to ensure best practices are implemented.
We will need to update the BMA in the coming months on a replacement Segregated Accounts Representative for Relm II (my suggestion would be that we ask Acumen to fill this role as they are currently doing this for Relm I already); and
Monitor BMA updates and proposals and provide the Board with updates on any relevant changes they can anticipate, including . Currently, Acumen does have someone who tracks this in a list, but without summaries of how it could impact business.
Assist Relm with the preparation for applying for a full digital Asset Business Act (DABA) license with the BMA, including liaising with the BMA on initial requirements under the law, providing advice on the Relm Insurance Ltd. structure
Provide oversight over various vendor and supplier relationship related to compliance and governance including relationships with accounting, advisory, and service provider businesse
Review of policies and procedures drafted and approved by the Board of Directors, including the Sanctions Policy, AML/ATF policies, etc.
Provide training on compliance matters to confirm they have been implemented and tracked to ensure that the employees are aware of the requirements.
Undergo training in RiskScreen and assume daily responsibility of this function to ensure potential insureds are screened prior to issuance of any quotes/binders and that they comply with the procedures outlined in the Sanctions Policy. This includes managing the relationship with the RiskScreen vendor and troubleshooting any issues as required.
Requirements:Qualifications, Skills, and Experience:
- Must be current practicing JD, with minimum of ten years’ experience on legal and compliance matters with first-hand knowledge of related legal and compliance matters in the insurance industry.
- Must have legal experience on Privacy law, Cyber Security and Cross Border data laws.
- Certifications including Compliance, AML, Privacy, are highly desired.
- Excellent verbal and written communication are required and the ability to interact and work independently with board of directors, key officers, stakeholders, and team.

Job Summary

Position Summary:
The Associate General Counsel will report to and work with the company's General Counsel. With oversight from the General Counsel, this position will help direct and protect all departments in the company regarding legal issues and rights. The Associate General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and assures legal compliance.
This position will ensure that all company policies conform to relevant legal standards and industry regulations, is frequently called upon to review contracts and other legal documents before they are approved and/or executed and may also be asked to assist in litigation.
Under the direction of the company's General Counsel, the Associate General Counsel will be responsible for various research tasks. The Associate reads over typical contracts and renewals for approval, drafting as necessary to ensure that the language conforms to the company's negotiations, is in proper form, and adequately protects the company. The Associate General Counsel also reviews claims for validity and works with the General Counsel to assist with litigation before the courts and before other relevant adjudicatory bodies. The Associate General Counsel must possess a law degree from an ABA-accredited law school. and be admitted to the California bar. Role Summary:
Verano Holdings Corp. ("Verano") is a national, vertically integrated operator of licensed cannabis cultivation, manufacturing, and retail facilities.
The VP, Legal – Associate General Counsel (Labor and Employment) will be responsible for providing employment related counsel across the organization. The role will interface with HR, guide external counsel, oversee EEOC charges and responses, represent Verano on corporate transactions, and will provide strategic advice and representation with respect to unions across multiple states in a wide range of matters.
Essential Duties and Responsibilities:
- Interface with unions, negotiate collective bargaining agreements, and provide union management and training oversight
- Oversee, retain, and direct external counsel, review and approve case filings, manage case budgets and invoicing, and provide strategic guidance and settlement authority to outside counsel
- Provide employment counsel on reorganizations, reductions, disability accommodations, leaves of absence, performance improvement, internal investigations, discipline, and terminations
- Manage employment litigation and employment-related due diligence in connection with mergers and acquisitions
- Draft employment and consulting agreements
- Prepare position statements in response to EEOC and labor charges
- Implement and uphold company-wide employment and compliance policies
- Partner with external counsel to provide guidance on case filings and other strategic matters
- Provide legal guidance and training on employment and labor issues to HR and management
Minimum Qualifications:
- 7+ years' experience in labor and employment law required
- Licensed to practice law in the state of Illinois
- Union, non-union, and EEOC experience required
- AmLaw100 experience and/or in-house experience
- Strong verbal and written communication, research, organizational and problem-solving skills
- Expert project management skills
- Excellent judgment and decision-making ability with the potential to become a trusted advisor to our business partners

Duties Description
Under the general direction of the Executive Team for the Office of Cannabis Management (OCM), the General Counsel provides legal counsel and assistance to all business units in the Office and the Cannabis Control Board. The General Counsel also has overall responsibility for the staff and workflow within the Legal Department.
Duties include, but are not limited to:
- Counsel on a full spectrum of legal issues, public policies and litigation support;
- Consult with the Executive Director, First Deputy Director and other executives of OCM regarding new legislation and changes in existing laws;
- Prepare drafts of bills to effect such changes, serve as the legal consultant for the agency;
- Review all proposed and existing federal, State and local legislation affecting OCM and make recommendations for appropriate action;
- Represent and act as advocate for the agency in internal and external conferences and meetings with respect to determinations on procedures and actions of OCM’s business units. Assistance includes, but is not limited to, factual investigation, ongoing strategic advice and assistance to OCM staff on compliance with legal requirements and formulation of appropriate planning strategies, proceedings, determinations or recommendation;
- Represent OCM with respect to legal matters.
- Serve as primary legal liaison with the Executive Chamber; the Legislature, the Office of the State Comptroller, the Attorney General’s Office, the Division of the Budget, the Department of Civil Service, the Governor’s Counsel, District attorneys, and other legislative, judicial and administrative offices;
- Assist Executive staff members and the Cannabis Control Board in the preparation for and implementation of Board meetings, which includes, but is not limited to, briefing Board Members on legal issues, development of resolutions, and leading of Executive Sessions;
- Serve as primary legal consultant for the agency, review legal aspects of contract negotiations, and act as the agency liaison on litigation, including certification of claims and recommendations for settlements;
- Provide consultation to labor relations staff on the administration of OCM’s discipline process and provides lead representation for OCM during arbitrations and formal hearings;
- Conduct research and development for developing bonding policies and advising on legal aspects of OCM programs;
- Develop and implement project management principles with the Legal Department.

What you've accomplished:
- JD degree and active membership in at least one US state bar.
- 10+ years of experience practicing corporate or transactional law.
- Experience advising clients on matters relating to public company reporting and compliance, capital market transactions, and corporate governance matters.

Position Overview

About The Role
Trucenta is seeking an experienced, practical attorney to provide legal support to multiple teams on a wide variety of transactions. What You Will Do

About You
Minimum of 5 years of experience in a law firm, corporate legal or contracts department.
Juris Doctorate.

Ability to effectively support numerous business units with diverse needs and changing priorities.

PURPOSE OF THE JOB
The Associate General Counsel, under the direction of the General Counsel, will support the Commission’s mission and its staff, and will address and resolve legal matters in settled and evolving areas of the law. ESSENTIAL FUNCTIONS AND RESPONSIBILITIES

- Commit to developing an expertise with laws governing adult- or medical-use marijuana along with identifying emerging issues to discuss with Commission counsel and staff;

The position is based in Harrisburg.
Day-to-day activities involve advising the Office on all issues relating to the Medical Marijuana Act and Temporary Regulations, including providing advice on novel questions as they arise. Litigation relating to administrative actions involves drafting and defending orders imposing civil monetary penalties, restrictions on permits, and other statutorily permitted sanctions. Additionally, this attorney will be expected to represent the Office in administrative hearings before the Department of State and, if needed, the appellate courts. Counsel will also need to review and respond to records requests and subpoenas. Regulatory drafting may be required.

Privacy

RESPONSIBILITIES AND DUTIES:
- Advise the company on legal risks, legal and business strategies, commercial transactions, and contract law.
- Be well-versed in Mergers & Acquisitions.
- Contract review and contract negotiations.
- Be responsible for all the company’s legal needs and requirements, contracts, commercial contracts, corporate governance, regulatory compliance issues, data privacy, and all other service under the legal umbrella.
- Engage with outside counsel as needed.
- Oversee all legal matters of the company as whole and act as the business’ legal representative.
- Collaborate with the People & Culture team to ensure all operations are in full compliance in all locations.
- Provide strategic legal and business advice to develop the company’s relationships and ensure we have long-term contingency plans.
- Strong knowledge of employment law and able to translate that amongst the team.
- Advise the executive team on new and existing laws in the cannabis arena to ensure compliance at all times.
- Oversee all legal matters for the company.
- Ability to create and deliver presentations to the company on legal matters.
- Examine, create, and implement draft agreements (employment, vendor, etc.)
- Proactively find solutions and create best practices to mitigate risk.
- Ensure compliance with local, state, and federal laws and regulations.
- Anticipate and identify legal issues and develop and coordinate legal strategies and solutions as appropriate.
- Proactively identify and advise on risk management strategies.
- Provides legal reviews of all materials, including website content, product features, marketing materials, and social media.
- Management and protection of all legal and intellectual property.
- Be able to build relationships across the company.
- Represents the company by responding to all legal issues and legal proceedings.
- Communicate effectively with both internal and external customers by providing exceptional customer service.
- Be innovative and stay current on all laws and best practices in the cannabis industry.
- Regular and consistent attendance is required and an essential function of this role.

REQUIREMENTS AND QUALIFICATIONS:
- JD from an accredited law school.
- 5-7 years professional experience as an attorney.
- Must have passed the Arizona Bar Exam (Company will provide financial assistance if not licensed in Arizona) and be a licensed attorney in the State of Arizona.
- Knowledge of laws and regulations pertaining to cannabis helpful.
- Willingness to research and become a SME on cannabis laws, cannabis regulations and all pertaining regulatory issues.
- Must be a minimum of 21 years of age per state licensing guidelines.
- Experience creating and supporting legal processes and internal controls.
- Exceptional organizational skills.
- The ability to multitask and balance several projects simultaneously on a national scope.
- Experience drafting and negotiating agreements and understanding of various intellectual property issues.
- Excellent oral, written and interpersonal skills.
- Advanced proficiency in MS Office Suite.
- Must be able to pass a comprehensive state and federal background check per licensing requirements.
- Must have a current valid State-issued Driver’s License.

Essential Job Duties & Responsibilities
- Responsible for management of all legal affairs, including external counsel, and liaison to the Board and executives of all business entities, ensuring effectiveness and cost control

- Minimum of 6 years of attorney experience, including a minimum 2-3 years of in-house experience as an attorney within the legal department of a similar-sized or larger corporation
- Expertise in cost-effective complex litigation management and a track record of consistent excellent outcomes.
- Experience and ability to negotiate significant commercial transactions and agreements (settlement agreements, contracts, separation agreements, etc.)
- Demonstrated good judgment and thorough experience serving as an advisor to internal clients and senior management either directly or through client relationships
- Demonstrated ability to think in a rigorous, strategic manner as a business person
- Experience with Board and committee operations, corporate secretary function and oversight of organizational documents, corporate minute books, policies and Board policies preferred
- Experience working with an organization operating in multiple US states

Reporting to the General Counsel, the Assistant General Counsel will provide broad support to Tilray’s cannabis and hemp business. You will be working alongside and in support of our highly experienced business team and legal professionals. The legal department is a great environment to learn and develop as an attorney.
Role and Responsibilities
A leader in the legal function focused on supporting the growth of the business across all categories which includes:
- Identifying and managing key legal/regulatory risks and opportunities in the marketing, distribution, import/export, and registration of medical and adult-use cannabis products, CBD and hemp products
- Supporting the negotiation and documentation of commercial transactions, M&A, and partnerships, weighing multiple legal and non-legal inputs
- Working closely with business units to ensure that all commercial activities are conducted in a strategic and compliant manner
- Staying up to date on regulatory framework and evolution to be able to counsel the business appropriately
- Providing guidance on regulatory interpretation and training on topics of interest and related to compliance
- Providing guidance and review of marketing, packaging, advertising, and product claims, and support the development of new and innovative product offerings
- Drafting, negotiating and providing legal counsel on a variety of commercial matters
- Dealing with complex, significant matters that cut across legal and related areas weighing multiple inputs
- Serving as an in-house generalist and attending to a wide variety of legal and quasi-legal matters on an as-needed basis; and
- Undertake special projects as required to support new business initiatives.
Working with broader legal team to ensure efficient and effective delivery of legal services in-house, including by:
- Maintaining template collections and intake systems, and training the business on their use;
- Implementing technology solutions to streamline legal administrative tasks
- Collaborating with and providing support to other members of the legal team;
- Managing work of outside counsel and efficient and cost-effective support; and
- Supporting the continuous improvement of legal processes to promote efficiency
- Contribute positively to the culture of the legal team and the company as a whole
- Due to the dynamic nature of the industry, the scope of your job may evolve and change by business demands and regulatory/ legal framework
Qualifications and Education Requirements
- Must be licensed to practice law in the United States or any Canadian province
- Minimum 8-10 years of experience working in a top tier law firm and/or in-house legal department
- Leadership experience preferred
- Proven negotiation, drafting and analytical skills for various types of complex commercial contracts and transactions
- Prior experience providing legal counsel directly to business clients
- Must be relationship-oriented with excellent business judgment, strategic thinking, and project management skills, and prepared to work in a cross-functional, fast-paced team environment

The person is responsible for managing the legal and regulatory aspects related to the sale of established beer brands and the introduction of disruptive brand offerings in wine, spirits, non-alcoholic, cannabis, and next generation beverages. The role also aids in drafting, negotiating, and implementing complex distribution, licensing, supply, and other commercial arrangements.
The Responsibilities:
- Provide strategic legal support for regulatory and Government Affairs issues for the company
- Provide counsel to Emerging Growth commercial leads as needed, contribute to key strategic discussions, and provide general counsel support to craft companies in the US
- Advise the company on regulatory, marketing, distribution, and other challenges in the entry into new brand categories including wine, distilled spirits, cannabis, and non-alcoholic beverages
- Draft, negotiate, and implement complex commercial transactions
The Other Qualifications:
- J.D. required, with excellent academic achievement
- 7+ years of legal experience, with a strong preference for 5+ years of in-house experience, in negotiating and drafting complex commercial agreements and managing teams
- Demonstrated legal talent with the ability to focus on and counsel the business on the major regulatory, sales and distribution issues facing a highly regulated company
- Excellent organizational and process skills, thought leadership, business perspective, and ability to interact with senior levels of management and staff
- Demonstrated outstanding judgment and a track record of serving as a key member of a complex organization
- Exposure/experience with disruptive technologies in regulated industries

Role Responsibilities
- Lead Business Development and file new application opportunities
- Create best practices and manage the most efficient processes for supporting daily operations, such as commercial contracts, vendor agreements, NDAs, and employment agreements
- Advise CEO and senior management on existing and pending new laws
- Manage litigation, and outside counsel generally
- Lead on important corporate transactions such as mergers, acquisitions, and growth-related opportunities that may include entering the public markets
- Proactively identify and execute opportunities for the law department to add value to the enterprise
- Represent the company before regulatory bodies, and/or manage experts in specific jurisdictions who will be doing so
Role Requirements
- A JD in excellent standing
- 5+ years of legal experience, ideally including time in both law firm and in-house settings
- Experience counseling at the executive level
- Experience at a publicly traded company
- The people and leadership skills to build a best-in-class legal department
- Preference for candidates with working knowledge and understanding of regulations pertaining to the cannabis industry; Will consider non-industry experts, but with a bias towards attorneys who have worked within highly regulated environments.
- Excellent organizational and communication skills
- Commercial operations/transactions experience preferred
- Candidate must be a self-starter, flexible to work in a collaborative structure and thrive in a fast-paced environment
- Candidate must be culturally aligned and passionate about the growth of legal cannabis generally

DUTIES & RESPONSIBILITIES *
Harvest is seeking a Corporate Security Attorney to join our in-house legal team as a key contributor in our rapidly growing and expanding national medical cannabis organization. The Assistant General Counsel will work under the direction of our General Counsel and with other Assistant General Counsels. Primary scope of responsibility include guiding the company's compliance with securities laws, both Canadian and U.S. Other duties may include:
- Consulting with management in all business areas.
- Reviewing, advising, negotiating and drafting contractual agreements.
- Providing guidance in the following areas
- Joint ventures, private equity and venture capital investments.
- Corporate transaction matters.
- Marketing and public relations matters.
- Corporate governance and Board of Director matters.
- Internal and external audit matters.
- Ancillary product administration, licensing, and legal requirements.
- Keeping informed of industry- and state-specific regulations and ensuring that appropriate risk management strategies are in place.
- Advising the company on and managing outside counsel for ongoing business issues as needed; patent and trademark matters; litigation and employment law matters.
- Managing legal, compliance and licensing groups.
- Participate in ongoing education and professional development opportunities.
- Work collectively and respectfully with other team members from all department and business units.
- Additional duties as assigned by management.
QUALIFICATIONS *
- Ideal candidate must have 7-10+ years of U.S. securities law experience. Experience with the Canadian Stock Exchange is desired.
- Bar membership in a state in the United States is required.
- Solid and substantive experience and thorough understanding of how to effectively structure, negotiate, and document leases, operating agreements, purchase agreements, and other corporate business agreements and ancillary lease and business agreement documents.
- Knowledge of Arizona's cannabis legislation, or similar legislation in other states, is desirable, though not required.
- Good interpersonal skills and proven ability to positively influence people; must be capable of effectively interacting at all levels in the organization.
- Ability to work in a fast-paced environment, to manage high stress situations, and to be flexible and adaptable when a situation requires it.
- Excellent academic record and success in a corporate law environment, excellent written and oral communication skills, and leadership capabilities.
- If necessary, ability to work 7 days per week and to be flexible with schedule, including travel.
- At least 21 years of age and authorized to work in the US, proper employment documentation, reliable transportation and valid driver's license.
- Must be capable of working in front of a computer for extended periods of time based on job duties listed above.
