Job Summary
Reporting to the General Counsel, the Associate General Counsel supports the management of a broad range of company-wide legal matters including, but not limited to; commercial and contracting matters, compliance and regulatory issues, significant corporate transactions, intellectual property, labor and employment, real estate, intellectual property, environmental and other matters impacting the business.
Duties and Responsibilities
- Responsible for advising, drafting and review of contracts
- Manage corporate and commercial transactions, including commercial contracts, mergers and acquisitions, divestitures, real estate leases and other business initiatives
- Provide advice and counsel to the People Ops department on all employment-related issues, including, but not limited to, recruiting, hiring, performance management, wage and hour compliance, benefits, and internal investigations
- Participate in the resolution of labor and employment issues and issues of environmental/health/safety and other regulatory matters as they arise
- Advise on compliance with federal, state, and local laws and regulations, especially regarding cannabis, ethics, public company trading and reporting

- Ensure protection of, and enforce, the company's intellectual property, including its patent and trademark portfolios

Position Summary:
The Associate General Counsel will report to and work with the company's General Counsel. With oversight from the General Counsel, this position will help direct and protect all departments in the company regarding legal issues and rights. The Associate General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and assures legal compliance.
This position will ensure that all company policies conform to relevant legal standards and industry regulations, is frequently called upon to review contracts and other legal documents before they are approved and/or executed and may also be asked to assist in litigation.
Under the direction of the company's General Counsel, the Associate General Counsel will be responsible for various research tasks. The Associate reads over typical contracts and renewals for approval, drafting as necessary to ensure that the language conforms to the company's negotiations, is in proper form, and adequately protects the company. The Associate General Counsel also reviews claims for validity and works with the General Counsel to assist with litigation before the courts and before other relevant adjudicatory bodies. A portion of the Associate General Counsel's work may involve discovery and court appearances, which may result in business travel.
The Associate General Counsel must possess a law degree from an ABA-accredited law school. and be admitted to the California bar. The ideal candidate will have some education in business and experience as in-house counsel. The ideal candidate will also have experience researching and advising on California cannabis law and compliance with cannabis regulations.

Our Legal Department takes an active role in guiding the direction and structure of our strategic initiatives, products, and commercial arrangements. You'll lead our corporate legal function and focus your efforts on a wide array of corporate legal matters, including securities, corporate governance, acquisitions, investments, and commercial transactions. The impact you'll make:
- Provide tactical and strategic advice to Weedmaps business leaders on corporate finance and securities law matters, including compliance with obligations under federal securities laws and Nasdaq rules and regulations, such as preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements and other filings.
- Lead mergers and acquisitions and other strategic transactions, including by proposing and implementing appropriate transaction structures and drafting term sheets and definitive agreements.

PURPOSE OF THE JOB
The Associate General Counsel, under the direction of the General Counsel, will support the Commission’s mission and its staff, and will address and resolve legal matters in settled and evolving areas of the law. The Associate General Counsel will provide advice on legal issues as they arise, including in the areas including in the areas of administrative law, contracts and procurements, licensing and enforcement, labor and employment.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
- Provide legal support as needed by the General Counsel, as well as the Executive Director, the Commission and its Commissioners, and other Commission staff;
- Commit to developing an expertise with laws governing adult- or medical-use marijuana along with identifying emerging issues to discuss with Commission counsel and staff;
- Monitor applicable state and federal laws, decisional law from other jurisdictions, and industry publications;
- Provide clear, concise and correct written and oral advice while evaluating the applicability of settled areas of the law to emerging and unsettled areas and make recommendations as to legal and practical implications of alternative courses of action;
- Advise and work with the licensing staff on the marijuana establishment agent and license application and renewal processes;
- Advise and work with the investigative staff on investigative, enforcement and disciplinary actions involving agents and licensees;
- Assist the department in implementing the processes for informal and adjudicatory hearings;
- Maintain litigation files and support the legal department in working with the Office of the Attorney General on litigation matters pending before federal and state courts;
- Advise the Commission and its staff on labor and employment issues;
- Draft contracts, statements of work, policies and procedures, and other legal memoranda; and
- Support legal and Commission staff in the procurement processes and its relationships with outside vendors.

- Maintain the highest standards of personal, professional, and ethical conduct and support the Commission’s goals for a diverse and culturally aware workforce;
- Clearly communicate the Commission’s policies and procedures to staff and members of the public;
- Anticipate and address the legal issues implicated by the Commission’s evolving mission; and
- Willingness to perform routine administrative and clerical duties as needed.

- Ability to develop and present clear, concise and correct legal arguments;
- Knowledge of the current state of the law and familiarity with cannabis-industry issues;
- Excellent verbal and written communication skills;
- Ability to exercise good judgment in making decisions and addressing problems;
- Ability to exercise discretion in handling of confidential and sensitive information;
- Ability to maintain complete and accurate records and attention to detail;
- Knowledge of state public records, open meeting and ethics laws;

- Excellent interpersonal skills; must be able to interact with people at all levels within the Commission, with entities and individuals regulated by the Commission, outside counsel, outside vendors, and members of the public; and
- Ability to work in and travel to the Commissions offices in Worcester and/or Boston.
EDUCATION AND EXPERIENCE
- Juris Doctor Degree from an accredited school of law and member in good standing with the Massachusetts bar;
- Minimum four-year experience practicing law, preferably with public-sector experience;
- Experience or familiarity with laws governing adult- or medical-use marijuana or a commitment to developing an expertise in this emerging area of the law;
- Experience or familiarity with state agencies, including commissions;
- Significant experience in civil or criminal litigation;
- Experience or expertise in managing caseloads and/or prosecuting cases;
- Experience or expertise in administrative law, and licensing and investigations;
- Knowledge and understanding of the conduct of informal and adjudicatory hearings;
- Experience or expertise in employment and labor law;
- Experience in or familiarity with contract and procurement law; and
- Strong experience using MS Office Suite (Outlook, Word, Excel, PowerPoint) and willingness to learn state- and Commission-specific electronic systems.
