The Deputy General Counsel is an in-house general practice Attorney who will handle complex corporate legal matters for a family-owned business enterprise which consists primarily of a beverage alcohol distribution business operating in 20+ states, a business that imports and distributes in-house and agency beverage alcohol brands, and other non-alcohol related family-owned businesses. This position will be responsible for advising these companies regarding new and existing business initiatives, drafting and negotiating corporate agreements, managing litigation, managing local regulatory counsel, advising business teams on legal and regulatory matters, and streamlining processes for supporting internal business clients. The Deputy General Counsel is responsible for providing proactive, broad-based corporate legal and compliance support to the organization and overseeing complicated and varied corporate legal, commercial and regulatory matters. Comfort working independently and directly with executives in a fast-paced environment will be critical for any successful candidate. This role reports directly to the business’s General Counsel and will office at the St. Paul, MN headquarters location. This position will offer you the potential flexibility to work remotely up to 2 days per week when appropriate. Travel may be necessary from time to time but is not expected to constitute more than 10% of your time.
Job Description:
- Develop a thorough understanding of the business’s commercial operations, its staff, services, technology, markets, facilities, customers, and competitors to identify trends and risks and formulate compliant legal strategies accordingly
- Provide legal support on joint ventures, mergers, acquisitions, divestitures, and investments for the business and its subsidiaries and affiliates (i.e., overseeing due diligence processes, negotiating term sheets and purchase agreements, and managing deal processes and integration efforts)
- Provide legal support to the business’s Treasury and Tax groups – particularly with respect to documenting intercompany transactions
- Provide legal support to the business’s Operations and Human Resources groups – particularly with respect to documenting policies and procedures and assisting with HR matters such as investigations, terminations and other employee related matters.
- Keep abreast of proposed and existing legislation and regulations affecting the beverage alcohol and cannabis industries, including by providing timely communication to, and compliance assistance for, various internal stakeholders
- Build strong business partner relationships, by providing creative solutions to meet their business needs, while mitigating risk
- Review, analyze, and advise on various corporate and commercial agreements including joint venture agreements and services agreements (in-bound and out-bound), including by supervising other members of the legal, compliance and regulatory affairs departments.
- Ensure all public facing terms & conditions, privacy policies, and other compliance-related documentation are kept up to date with current company processes and applicable regulations
- Other duties or responsibilities as assigned by the General Counsel, which will vary greatly due to the nature of this family-owned business environment
Required Qualifications:
- Juris Doctorate degree
- 7+ years of legal experience working within in-house or equivalent law firm experience; in house experience is highly desirable but not required
- Proven background working in corporate law and commercial transactions (including significant experience with complex contracts, intellectual property rights, as well as general experience with real estate transactions, tax law, accounting , bankruptcy, regulatory licensing, human resources and other commercial legal matters)
- Ability to travel domestically up to 10%
