The Role
Green Thumb is excited to announce an opportunity for a Corporate Counsel position to be focused on further expansion of Green Thumb's cannabis businesses through real estate transactions. The position requires an organized, responsive, detail-oriented candidate with strong real estate skills and a deep knowledge of transactional work. This role will report to the Assistant GC – Real Estate and will be responsible for real estate and leasing transactions at Green Thumb and will provide legal support for Green Thumb's medical and adult use cannabis businesses across 17 manufacturing facilities and 75+ retail locations in 15 U.S. markets. The ideal candidate will (i) have 3+ years of experience as an attorney at a nationally-recognized law firm or as in-house counsel, (ii) have expertise in both commercial real estate acquisitions/dispositions and retail leasing, (iii) be a self-starter with excellent oral and written communication skills, and (iv) have a working knowledge of, or a passion for learning about, the cannabis industry.
Responsibilities
- Draft and negotiate real estate documents in support of Green Thumb's retail and wholesale divisions, including leases and lease amendments, purchase and sale agreements, loan documents, and others required to meet the company's real estate needs.
- Review title, survey, zoning reports, and other due diligence in connection with real estate transactions.
- Oversee the flow and progress of real estate deals, including keeping closing checklists and internal status reports up to date, preparing for closings and coordinating closing-related tasks, finalizing closing books, and keeping all electronic real estate files up-to-date and organized.
- Review existing lease agreements to address questions from Green Thumb's real estate, operations, and facilities teams; as needed, work with business counterparts and landlords regarding operational, maintenance, and other property-related issues.
- Collaborate with retail and wholesale business leads and other internal teams (such as accounting, risk management, tax, and compliance) to ensure the terms of all real estate and leasing agreements accurately reflect the current business needs and minimize risk to Green Thumb.
- Work with Assistant GC – Real Estate to continue developing a library of form documents, language, and processes for real estate transactions to increase in-house efficiencies.
- Support Assistant GC – Real Estate and Green Thumb's real estate team to ensure all dates and deadlines in real estate transactions are met.
- Manage outside counsel to ensure high-quality legal services in a fair economic value for Green Thumb.
Qualifications
- Exceptional academic record and Juris Doctorate from a major national law school with experience working at a nationally-recognized law firm or as in-house counsel.
- Licensed to practice law in IL or eligible for admission pursuant to Illinois Supreme Court Rule 716.
- 3+ years of real estate/leasing experience as an attorney.
- Strong drafting, organization, and written and verbal communication skills.
- Team player who is proactive, a self-starter, and ready to roll up their sleeves and dig into the work.
- Strategic, detail oriented and self-motivated to provide high quality and timely work product in a fast-paced, complex, and highly regulated environment.

RESPONSIBILITIES & DUTIES:
- Assist General Counsel with ongoing legal matters, including general corporate matters, acquisitions, governance, licensing, litigation, compliance, and employment.

The impact you'll make:
- Provide tactical and strategic advice to Weedmaps business leaders on corporate finance and securities law matters, including compliance with obligations under federal securities laws and Nasdaq rules and regulations
- Manage public offerings and other capital markets transactions, mergers and acquisitions, and other strategic transactions.
- Coordinate the preparation of all securities filings, including reports on Forms 10-K, 10-Q, 8-K, and proxy statements.

- Assist in creating, administering, and improving processes, agreements, document templates and policies, including regarding insider trading, related party transactions, Regulation FD, and related matters.
- Advise business partners on business and legal issues and risks, company policies, and business strategy.
- Provide advice and counsel to the Company and product team regarding new product offerings and functionalities in light of rapidly changing applicable laws, including those related to data privacy and security, and collaborate with your colleagues on the Legal team to update the Company's privacy policy and terms of use in accordance with new products, laws, and regulations.
- Identify potential areas of compliance vulnerability and risk, and develop and implement corrective action plans for resolution of problematic issues.
- Conduct research regarding legal and compliance issues affecting the Company's businesses, translating complex laws and regulations into practical advice and solutions.
What you've accomplished:
- JD degree and active membership in at least one US state bar.
- Minimum of 4+ years of corporate governance, capital markets transaction, and public reporting experience working at or advising technology companies (either in-house and/or at a global law firm).

Job Summary

As Kiva's Corporate Counsel you will...
- Advising senior management and business partners on all aspects of commercial transactions.

What we're looking for...
- 3 to 5+ years of relevant legal experience;

CORPORATE COUNSEL
The Role
Corporate Counsel will be focused on the further expansion of Terrabis' cannabis businesses through commercial transactions and regulatory compliance. The position is suited for an accomplished transaction-based attorney who can also stay up to date on cannabis regulations applicable to Terrabis.
From a commercial transaction perspective, this role will provide legal support for all of Terrabis' existing medical and pending adult use cannabis businesses across three (3) U.S. markets. A successful candidate will (i) identify, evaluate, manage, and mitigate the company's risk, (ii) be responsible for advising the Terrabis management team and (iii) coordinate with the Chief Legal Officer to negotiate, document, and close commercial contracts, intellectual property licensing agreements, and other strategic commercial transactions of the business.
From a regulatory compliance perspective, this individual will also be responsible for preparing required disclosures and reports for submission to regulatory agencies.

They will have at least 3 years of demonstrated legal experience practicing in the fields of commercial transactions, regulatory law, and/or real estate.
Transactional Responsibilities
- Draft and negotiate transactional documents such as vendor contracts, supply agreements, intellectual property agreements, brand licensing arrangements, marketing agreements, NDAs, and LOIs.
- Develop form documents and processes to increase in-house efficiencies.
- Manage and oversee compliance with all dates and deadlines in our commercial documents.
- Ensure commercial documents are consistent and protective of Terrabis.
- Coordinate with company's Chief Legal Officer and operational business leads.
Regulatory Responsibilities
- Independently review, analyze, and keep current on developments in state and federal laws and regulations affecting the cannabis industry and Terrabis' business, and provide business clients legal advice regarding those laws and regulations to ensure organizational compliance in each of Terrabis' markets.
- Work directly with Terrabis' board members, directors, officers, and others to prepare their principal officer applications, agent badge renewals, affiliations and other required reports, disclosures and filings as required by applicable cannabis regulations.
- Collaborate with the Chief Legal Officer to review and revise regulatory submissions, respond to regulator inquiries, and assist with other projects as needed.
- Advise on training, auditing, and monitoring activities applicable to the business and help ensure compliance with cannabis laws and regulations.
- Conduct or support regulatory compliance investigations as needed.
- Build good relationships with state regulatory officials and staff.
Qualifications
- Juris Doctorate degree from an accredited law school.
- 3+ years of general corporate and transactional legal experience with the ability to handle nuanced regulatory matters.
- Strong ability to grasp complex legal issues quickly, exhibit strong analytical problem solving and decision-making skills, exercise sound judgment, and provide practical legal advice.
- Highly motivated, self-directed, innovative and able to work independently or among teams with keen judgement, common sense and resourcefulness
