We are looking for a superstar senior level attorney to join our expanding team as Chief Legal Counsel. This role will report directly to the executive team and will work collaboratively with and support our multiple business interests. (Real Estate, Research & development, Biotechnology, Cannabis, Government Regulatory)

PRIMARY PURPOSE OF THIS POSITION:
Provide legal guidance internally to the executive team and represent the Company in assigned legal proceedings to reduce liability and ensure legal compliance.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES OF THE CHIEF LEGAL COUNSEL: (other duties may be assigned)
- Ensure legal compliance with respect to the development of policies and procedures.
- Review, create and negotiate contracts and assist our business interests in their implementation as assigned.
- Review, draft and negotiate employment-related documents, including compensation agreements, settlement agreements, non-disclosure agreements, job offers, employment agreements, severance agreements, and other legal documents.
- Provide practical legal advice on a large span of employment challenges, including recruiting, compensation, performance management, separations, internal investigations, leaves of absence, discrimination, harassment, diversity and inclusion, wage and hour compliance, EEO compliance, reasonable accommodations, employee relations, employee benefits, employee classification, and other employment related topics.
- Pro-actively support management and other stakeholders to assess the obligations to reduce exposure to legal risks and to optimize business opportunities.
- Cooperate with, integrate in the business, and build good relations with, stakeholders to secure mutually sustainable solutions, including our People & Culture (HR) function.
- Active cooperation with our executive team to secure alignment of our business needs across our various holdings and interests. (Real Estate, Regulatory, Research & Development, Biotechnology)
- Contribute to, and support the implementation of the Business Plan, development projects, and other operational goals.
- Develop and implement standard processes, policies, trainings, and ways of working for employment-related matters.
- Develop competence and provide education to relevant stakeholders in laws and regulations.
- Keep updated in relevant employment-related legal and governance developments, including changes in federal and state laws and regulations.
- Defend and manage employment-related claims and litigation, including managing outside counsel if needed and respond to administrative charges, complaints, attorney letters, settlement demands and other claims.
- Help with estate planning, insurance, healthcare management and other areas as needed.
- Advise all levels of management and employees on an appropriate course of action when legal situations arise to include assistance with investigations.
Qualifications/Preferred Skills, Knowledge & Experience
Qualifications / Requirements:
- Juris Doctorate from an accredited law school.
- Pennsylvania Attorney’s License.
- Substantial job-related experience.
- Must have s analytical, research and writing skills.
- Must have trial advocacy skills

- Must be able to work well under pressure and meet deadlines.

THE ROLE
As the Chief Legal Officer, you will report to, and be a key strategic partner to the Chief Executive Officer, and the executive team. The Chief Legal Officer is a multidimensional role that not only manages legal tact, but also aligns legal and business strategies, suggests innovative business solutions, mitigates risk, and ensures legal efficiency. You will act as a strategic business partner to the Founder and CEO.

CORE RESPONSIBILITIES:
- Develop and lead corporate legal strategies to promote and protect the company's interests while owning all legal items for the portfolio of companies.
- Develop and lead internal audit and corporate compliance programs. Specifically, own global tax strategy in Canada, Barbados, US, Europe for efficiency, compliance, and risk management.
- In collaboration with finance, develop capital acquisition and exit strategy and advocate with all stakeholders to successfully advance high value exit. Specifically, US CPG (Consumer Packaged Goods) (500m-1b), Canadian IPO (10-50M), 5-10M series A technology company, and various asset based real estate transactions.
- Participating in the formulation of general management policy as a member of the executive management team while driving Founder's vision to execution.
- Collaborate on strategic business decisions; develop and recommend independent and balanced business options as a contributing member of the executive team.
- Organize all legal needs of the company in a detailed, dynamic, and highly responsive model.
- Manage filings and pending regulatory/compliance FDA/DOJ claims, managing battle plans, PR, and other aspects of litigation.
- Full ownership over of all legal items for the portfolio.
- Recruit, expand and manage a lean internal legal team, utilizing and leading outside counsel as required.
- Review/modify/fix all agreements across businesses for maximum value and minimal risk, including ensuring all relationships across all businesses have properly executed agreements.
- Create a Portfolio-wide legal database where all documents are tracked, organized, and updated to reflect ongoing efforts and strategy.
- Create internal regulatory/compliance guidelines for future new product development.
- Organize all legal items and lead litigation strategy mapped for execution.
- Provide oversight and leadership of the federal and state lobby team and the creation and operation of various third-party organizations to advocate for our interests.
- In collaboration with sales, engage with key retail customers and distribution partners to secure their confidence, minimize their risk, and acquire their business.
WHAT YOU'LL BRING
- D. degree with strong academic credentials, MBA strongly preferred.
- Active license to practice law in at least one country / state.
- A minimum of 10-15+ years of US and Canadian legal experience at least 5 of which is in a head of legal function.
- Proven success record in working with highly driven entrepreneurial founders and CEOs to create exponential, profitable growth.
- Extensive experiences with various regulatory agencies in fields such as supplements, pharmaceuticals, cannabis and/or alcohol.
- Previous experience in managing/leading state and federal lobbying to successfully stop and advance strategic legislation including mobilization of public affairs initiatives as required.
- Diverse and extensive inbound and outbound litigation experience including state, federal, trademark and consumer liability.
- Ability to work autonomously, taking accountability without a huge team behind them.
- Highly detailed and organized communication style, including the ability to operate in highly charged fast moving environments.
- You are technologically savvy, quick with tools e.g., O365, G-suite, and great at building visual reports and decision trees.
- Willingness and ability to work the hours it takes to be successful in a fast paced, rapid change, hypergrowth environment.
- Minimum 5 years working with and reporting directly to founders/entrepreneurs with a list of highly favorable references from entrepreneurial leaders.
Preference will be shown to those candidates with:
