· The ideal candidate will have at least three years of experience with general corporate transactional matters such as mergers and acquisitions, corporate structure (formation and reorganization,) corporate contracts (operating agreements, license agreements, employment/compensation agreements, service contracts, buy/sell agreements, etc.).
· Able to handle all aspects of complex transactions for clients of all sizes and across industries.
· Experience drafting transaction agreements and documents with efficiency and clarity, negotiating deal terms, managing transaction closings and processes, and providing thorough factual and legal research and analysis.
· Strong analytical, interpersonal and communication skills. The candidate has the ability to work as part of a team while also having the confidence and demeanor to assume individual responsibility for matters involving direct client interaction. This attorney will serve as business advisor to clients, guiding them in a full range of legal matters throughout their life cycle.
Responsibilities:
- Draft and negotiate real estate transaction documents, including purchase agreements, leases and closing documents
- Draft cannabis license applications and various documents pertaining to the multiple step process
- Perform due diligence on behalf of clients seeking to purchase membership or shareholder interests
- Manage assigned files from start to finish and provide oversight of paralegal work product
- Proactively audit processes, practices, and documents to identify weaknesses and areas for improvement.
- Perform research and assist with projects as needed
Qualifications:
- Juris Doctorate from accredited law school
- Licensed in Michigan and in good standing with the Michigan Bar Association
- Strong contract drafting and negotiating skills
- Excellent judgment, attention to detail and ability to work both independently and as part of a team are a must; strong organizational, project management and interpersonal skills.
