We are seeking a talented corporate attorney to fill a key role in a blossoming corporate practice catering to New York’s hospitality industry as well as its emerging recreational cannabis industry.
An ideal candidate would possess the following experience:
· 2+ years’ substantive experience working in a law firm setting on a broad array of corporate transactions, including private placements of securities;
· Experience drafting and reviewing corporate organizational documents, including shareholders’ and operating agreements, bylaws, and joint venture agreements;
· Experience advising on corporate governance matters applicable to LLCs, S-Corps, and C-Corps; and
· Familiarity with SEC and blue sky filing and reporting in connection with securities offerings under Reg D.
The candidate we are seeking is an excellent legal drafter and a pro-active, energetic, and hardworking team player. The candidate must have the ability to manage multiple projects in a deadline driven environment and possess exceptional analytical and oral and written communication skills. To be considered, the candidate must be admitted to practice law in the State of New York and possess a J.D. from an accredited law school. Proficiently in Microsoft Office (particularly Microsoft Word and Excel) is required. The candidate must also reside within commuting distance of Manhattan, New York, or be willing to relocate to such area. Candidates will be permitted to work remotely certain days each week subject to coordination with their supervising attorney.
Salary range: $100k to $130k per annum

Two weeks after their second dose in a two-dose series, e.g., the Pfizer or Moderna vaccines, or
- Two weeks after a single-dose vaccine, e.g., Johnson & Johnson’s Janssen vaccine.
If employees choose to obtain a two-dose series vaccine, they must show proof of their first shot no later than September 13, 2021. Helbraun Levey believes this is an important measure to protect the health and safety of employees, customers, clients, family members and those who visit the workplace from COVID-19 infection.
All employees will be required to receive a booster (third Pfizer or Moderna shot or second J&J) by no later than January 31, 2022 or within 30 days of when they become eligible (eligibility starts 6 months after a primary Pfizer or Moderna vaccination series, or 2 months after a Johnson & Johnson vaccination.
Additional guidance will be released as it becomes available from city, state and federal authorities.
